Freeya App Launch Giveaway
Users of the app will be entered into the giveaway each day that they post or pickup something in the app. Our first giveaway will be August 27th at the end of our Pedalpallooza roundup event. We'll be giving away one custom built Surly Ogre cargo bicycle, built specially for Freeya by Metropolis Cycles.

Official Rules for the Freeya App Launch Giveaway (“Official Rules”):
NO PURCHASE IS NECESSARY TO ENTER OR WIN. MAKING A PURCHASE DOES NOT INCREASE YOUR CHANCE OF WINNING. THIS PROMOTION IS IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY, OR ASSOCIATED WITH, FACEBOOK, TWITTER, SNAPCHAT, TWITCH, TIKTOK, LINKEDIN, GOOGLE, OR ANY OTHER SOCIAL MEDIA PLATFORM. YOU UNDERSTAND THAT YOU ARE PROVIDING YOUR INFORMATION TO FREEYA, LLC AND NOT TO ANY SOCIAL MEDIA PLATFORM. THE INFORMATION YOU PROVIDE WILL BE USED AS SET FORTH IN THESE OFFICIAL RULES.
ELIGIBILITY. Except for Excluded Individuals (see below), the Freeya App Launch Giveaway (“Giveaway”) is open to residents of (i) Clackamas County, Oregon, (ii) Multnomah County, Oregon, (iii) Washington County, Oregon, and (iv) Clark County, Washington. The following individuals are ineligible to enter (“Excluded Individuals”): (a) employees, officers, and directors of FREEYA, LLC (“FREEYA”); (b) persons living in the same household as Excluded Individuals described in subsection (a) —whether or not they are related; and (c) persons who are minors in the jurisdiction in which they reside.
The Giveaway is void where prohibited by law; all applicable federal, state, and local laws apply.
GIVEAWAY PERIOD. The Giveaway begins at 12:00 am Pacific Daylight Time on August 15, 2022, or when the Freeya App (“App”) is available to the public for download on the Apple App Store or Google Play App Store, whichever is later, and ends at 11:59 pm Pacific Daylight Time on the date that is 49 days (7 weeks) after the start date (the “Giveaway Period”). FREEYA maintains the official Giveaway timekeeping device.
ENTRY. You may enter the Giveaway as follows:
Submit an entry by using the App (available for download via Apple App Store and Google Play) to post or pick up an item. Participants (as defined below) must either (i) validly post an item in the App; or (ii) pick up an item from another Participant’s valid post in the App.
For the purposes of the Giveaway, a valid App post is one that remains available in the App for the Giveaway Period or until it is picked up by another Participant. Failure to maintain the post for the Giveaway period or until picked up by another Participant automatically results in such post being deemed an invalid App post for purposes of the Giveaway (i.e. a failed entry).
For the purposes of this Giveaway, a valid item pickup means that the Participant must make an actual attempt to pick up an item by physically going to the agreed upon pickup location to retrieve the item.
For the avoidance of doubt, the following scenarios count as valid entries: (i) a Participant picks up another Participant’s item; (ii) a Participant’s App post remains active for the Giveaway Period, but such item is not picked up by another Participant; (iii) a Participant attempts to pick up a validly posted item but the item is missing or is not at the agreed upon pickup location when the Participant arrives; (iv) a Participant attempts to perform a contact-required pickup but the person that posted the item in the App is not at the agreed upon pickup location when the Participant arrives.

All persons that use the App as described in Section 3(A) or submit an entry as described in Section 3(B) during the Giveaway Period (“Participants”) will automatically be entered to win Prizes (as described in Section 4 herein). All entries must be received or postmarked within the Giveaway Period. No mechanically reproduced entries will be accepted. FREEYA assumes no liability for lost, late, incomplete, or misdirected entries.
By entering the Giveaway, you acknowledge and agree that your email address will be added to FREEYA’s customer email program; however, you can opt out by clicking the opt-out link in any email.
You may only enter the Giveaway one time per day during the Giveaway Period. You may not, by using multiple email addresses, identities, or devices, attempt to circumvent the Official Rules regarding entry requirements. If any person uses fraudulent methods, post the same item or attempts to pick up the same item multiple times or using multiple identities, or otherwise attempts to circumvent the Official Rules, the entries may be disqualified at the sole discretion of FREEYA.
PRIZES. FREEYA will give away the following eight (8) prizes (“Prize(s)”) to eight (8) different winners who are chosen at random from the eligible entries (the respective value of each Prize is noted in USD): one (1) 2013 Nissan Leaf ($10,000.00); one (1) RadRunner Plus Cargo Bike ($2,161.00); one (1) Custom built Surly Ogre ($1,567.00); one (1) Technivorm Moccamaster KBGT Coffee Maker ($339.00); one (1) Electric guitar ($1,800.00); one (1) Giant Monstera plant ($250.00); one (1) Electric Husqvarna Chainsaw ($250.00); and one (1) Nugget Couch ($230.00). For the avoidance of doubt, FREEYA will give away only a quantity of one (1) of each of the eight (8) aforementioned Prizes, for a total of eight (8) different Prizes to eight (8) different winners. Any cost or expense associated with the acceptance or use of any Prize not specified herein as being awarded, including, but not limited to, federal, state, or local taxes, is the sole responsibility of the winner. All Prize details are at the sole discretion of FREEYA. No transfer, assignment, cash redemption, or substitution of any Prize is permitted, except by FREEYA who reserves the right to substitute any Prize with one of comparable or greater value in its sole discretion.
ODDS OF WINNING. The odds of winning depend upon the total number of eligible entries received. Each Prize described herein will be awarded.
WINNER SELECTION. Winners will be selected from among eligible entries in a random drawing. The first random drawing will take place on August 27, 2022, from among all eligible entries received prior to the drawing. Each subsequent week during the Giveaway period, another Prize will be awarded from all eligible entries received prior to the drawing. The final drawing for the giveaway of the 2013 Nissan Leaf Prize will take place within seven (7) days of the end of the Giveaway Period. By entering, entrant agrees to be bound by these Official Rules and to the decisions of FREEYA, which will be final and binding in all respects. FREEYA reserves the right (but is not obligated) to verify eligibility qualifications of the potential winners. Winners will be required to provide their full name and may be required to sign an Affidavit of Eligibility and Liability/Publicity Release. FREEYA reserves the right, in its sole discretion, to void the entries of entrants in violation of these Official Rules or believed to have attempted to tamper with or impair the administration, security, fairness, or proper play of this Giveaway.
WINNER NOTIFICATION; PRIZE PICK UP. The Giveaway winners will be notified by e-mail within seven (7) days of winner selection. Winners selected must respond by providing their name and claiming their prize within seven (7) days of receiving the email notification that they have been selected.
All winners must pick up Prizes within thirty (30) days of notification (as described in this Section 7) at FREEYA’s office, located at 3530 N Vancouver Ave. Suite 320 Portland, OR 97227, or, at FREEYA’s option, at an alternative location determined by FREEYA. For the avoidance of doubt, FREEYA will not deliver any Prize to any winner.
Non-compliance with these Official Rules, a potential winner’s failure to respond to the e-mail claiming a Prize within seven (7) days of attempted notification, return of a Prize notification as non-deliverable, failure of a potential winner to verify such winner’s identity, or failure of a potential winner to pick up a Prize within thirty (30) days of notification (as described in this Section 7) may result in disqualification of the winner and—at the discretion of FREEYA—awarding of the Prize to an alternate winner.
RIGHTS GRANTED BY WINNERS. FREEYA may use the winner's name and likeness in any medium without permission or further compensation, except as prohibited by law. A complete list of Giveaway winners may be obtained by sending a self-addressed and stamped envelope within one (1) year of the Giveaway Period to: FREEYA App Launch Giveaway Winner’s List, 3530 N Vancouver Ave, Suite 320, Portland, OR, 97227.
ENTRY TERMS AND FREEYA’S USE. By entering, entrants agree: (1) that FREEYA will contact the winner by e-mail and may use the winner’s name and likeness; (2) that FREEYA may store your information and may contact entrants in the future regarding FREEYA’s promotions or offers; (3) that entrant will not create multiple accounts in order to enter the Giveaway more than allowed by these Official Rules; (4) that entrant will not update, post, or link messages in violation of any third party website terms of use or otherwise violate the rights of any third party; (5) that FREEYA, and any social media platform, and each respective entity’s affiliates, subsidiaries, advertising and promotion agencies, partners, and each of their respective representatives, agents, successors, assigns, employees, officers, directors, agents, and representatives (collectively the “Indemnified Parties”), shall have no liability and, to the fullest extent permissible by law, will each be held harmless by entrant or any party claiming through entrant for any claim, action, liability, loss, injury, or damage to entrant or any other person or entity, including, without limitation, personal injury or death to entrant or any other person or damage to personal or real property, arising in whole or in part, directly or indirectly, by reason of the acceptance, possession, use, misuse or nonuse of any Prize, or the participation or non-participation in the Giveaway; (6) that, to the fullest extent permissible by law, entrants waive all rights to claim from the Indemnified Parties any damages, including without limitation, punitive, incidental, or consequential damages, and attorneys’ fees; (7) to be bound by these Official Rules and the decisions of FREEYA, which are final and binding on all matters relating to the Giveaway; (8) to waive any right to claim any ambiguity or error in these Official Rules or the Giveaway itself; (9) that FREEYA is not responsible for taxes associated with winning a Prize in this contest; (10) that the Prize winners may be required to provide certain tax related documents to FREEYA as required by law before receiving a Prize; (11) that all participants must abide by the terms of use of any social media platform, all third party agreements that may affect or be affected by participation in this Giveaway, and all applicable law; (12) that all participants must abide by the Terms of Service available at: https://freeya.com/terms; and (13) that all information submitted to FREEYA is subject to the FREEYA Privacy Policy available through the following link: https://freeya.com/privacy.
USER GENERATED CONTENT. As a condition to entering the Giveaway, you agree any user generated content ("UGC") submitted by you must be either your own work or submitted with the consent of the owner. It is your responsibility to ensure that your submitted UGC does not infringe or violate the intellectual property rights or other rights of any third party or laws. Neither FREEYA nor its agents will be responsible for returning or preserving any of your submitted UGC or for compensating or crediting you in any way except as specifically provided in these Official Rules.
RIGHT TO CANCEL GIVEAWAY. If for any reason this Giveaway is not capable of being run or implemented as planned (as determined by FREEYA in its sole discretion), due to any reason including, but not limited to, tampering, unauthorized intervention, fraud, computer viruses or bugs, or any other cause of any kind, which, in FREEYA’s sole judgment, is likely to or actually corrupts, impairs or affects the administration, security, fairness, integrity, or proper conduct of the Giveaway (including, but not limited to, tampering, unauthorized intervention, fraud, or any other cause of any kind), then FREEYA reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend all or any part of the Giveaway or to disqualify any implicated entrant and any associated entries. In the event of cancellation or termination, FREEYA reserves the right, in its sole discretion, to pick the winners in a random drawing from among all eligible, non-suspect entries received up to the time of the event or action warranting such cancellation or termination.
Any attempt to deliberately damage any website or undermine the legitimate operation of this Giveaway is a violation of criminal and civil laws and should such an attempt be made, FREEYA reserves the right to seek damages (including attorneys’ fees) and other remedies from any such person responsible for the attempt to the fullest extent permitted by law. FREEYA reserves the right, in its sole discretion, to disqualify any entrants whom FREEYA believes have attempted to tamper with or impair the administration, security, fairness or proper play of this Giveaway or are in violation of these Official Rules, and void all associated entries.
DISCLAIMER. FREEYA is not responsible for late, lost, stolen, damaged, illegible, incomplete, misdirected, delayed, garbled, inaccurate, postage due or undelivered mail, or for telephonic, human, or computer failures, interruptions in service due to system upgrades, repairs, modifications, or other causes, failures or malfunctions of connections, satellite, network, cable, Internet Service Provider (ISP), phones, phone lines or telephone systems, traffic congestion on the internet, technical or mechanical malfunctions, or other malfunctions or errors, whether caused by equipment, programming, human error or otherwise relating to or in connection with the Giveaway, including, without limitation, errors which may occur in connection with the administration of the Giveaway, the processing of entries or electronic mail or the announcement, delivery or use of the prizes, or for any injury or damage to participant’s or any other person’s computer relating to or resulting from participation in this Giveaway, or for printing, typographical, computer, network, electronic, mechanical, human or other errors appearing in these Official Rules or other Giveaway-related materials.
UNFORESEEN CIRCUMSTANCES. The failure of FREEYA to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, pandemic, earthquake, terrorism, act of public enemies, action of governmental authorities, or any force majeure event or event outside the control of FREEYA will not be considered a breach of these Official Rules.
SEVERABILITY; WAIVER. These Official Rules will be enforced to the fullest extent permitted by applicable law. If for any reason any provision of these Official Rules is held to be invalid or unenforceable to any extent, then (A) the provision will be interpreted or reformed to the extent reasonably required to render the provision enforceable and consistent with the original intent underlying the provision; (B) the provision will remain in effect to the extent that it is not unenforceable; and (C) the unenforceability of the provision will not affect any other portion of these Official Rules. The failure by FREEYA to enforce any of the provisions of these Official Rules will in no way be construed as a waiver of any provision of these Official Rules in any instance.
GOVERNING LAW; JURISDICTION; CLASS ACTION WAIVER: This Giveaway is governed by the laws of the State of Oregon, USA, without reference to conflicts of laws principles. As a condition of participating in this Giveaway, PARTICIPANT AGREES THAT ANY AND ALL DISPUTES ARISING OUT OF OR RELATED TO THIS GIVEAWAY WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, EXCLUSIVELY BEFORE THE STATE OR FEDERAL COURTS IN PORTLAND, OREGON.
